A special purpose vehicle (SPV) is a dedicated legal entity created to isolate a specific function: holding assets, containing liabilities, or organising a defined initiative. While the underlying principle of isolation is constant, the arrangement of SPVs varies. This reference compares three structural patterns commonly described in project governance (single-project, umbrella, and sequential) and sets out the trade-offs that distinguish them.

Scope and method

Pattern 1: Single-project vehicle

A single-project SPV exists to hold one initiative and nothing else. It is the most direct expression of ring-fencing: one vehicle, one set of obligations, one boundary.

  • Isolation: Highest. The vehicle’s risks are fully contained, and the principle of limited recourse applies cleanly: creditors of this vehicle cannot reach assets held elsewhere.
  • Administrative complexity: Low per vehicle, but it can multiply if many initiatives each require their own SPV.
  • Flexibility: Limited by design. The vehicle is not intended to expand beyond its single purpose.

Single-project vehicles are typically referenced where clarity and clean separation matter more than economies of scale.

Pattern 2: Umbrella structure with sub-SPVs

An umbrella structure places multiple sub-vehicles beneath a common parent. Each sub-SPV is intended to remain ring-fenced from the others, while the parent provides a shared organising layer.

  • Isolation: Conditional. Isolation between sub-vehicles depends on the integrity of the structure; the separation is only as strong as the boundaries that are maintained between sub-SPVs.
  • Administrative complexity: Higher. A shared layer must be governed in addition to each sub-vehicle.
  • Flexibility: High. New sub-SPVs can be organised under the existing umbrella without rebuilding the whole structure.

This pattern is referenced where several related initiatives benefit from a common organising framework while still requiring separation from one another.

Pattern 3: Sequential issuance model

A sequential model introduces vehicles in stages over time, each associated with a defined phase or tranche rather than existing all at once.

  • Isolation: Maintained per stage, provided each issuance preserves its own boundaries.
  • Administrative complexity: Ongoing. Each new issuance carries its own governance and documentation requirements.
  • Flexibility: High across time, lower within any single stage, since each stage is defined before it is issued.

Sequential models are referenced where an initiative unfolds in phases and each phase warrants its own contained structure.
